Terms of Service

1) Company and Contact

2) Eligibility

You must be at least 13 years old (or the minimum age required in your jurisdiction) to use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3) Accounts and Security

You are responsible for safeguarding your login credentials and for all activity under your account. You agree to provide accurate information and to keep it up to date.

4) Subscriptions, Trials, Billing, and Cancellations

If you purchase a subscription, you authorize us (and/or Apple, if purchased via the App Store) to charge applicable fees and taxes.

• App Store subscriptions: Billing, renewals, and cancellations are handled by Apple under Apple's terms and policies.
• Trials: If a free trial is offered, it converts to a paid subscription unless canceled before the trial ends.
• Price changes: We may change prices or plans for future periods as permitted by law and platform rules.
• Refunds: Except where required by law or platform policy, fees are non-refundable.

5) iOS App License and Apple Terms

If you download the iOS app, you are granted a limited, non-exclusive, non-transferable, revocable license to use the app for personal use on Apple-branded products you own or control, as permitted by Apple's Media Services Terms and Conditions and Apple's Licensed Application End User License Agreement (LAEULA). If these Terms provide less protection to Apple than the LAEULA, the LAEULA controls as to Apple's rights. Apple is not responsible for the Service and does not provide support for it.

6) Content; Ownership; Reservation of Rights

The Service may include text, reports, briefings, summaries, analysis, commentary, charts, indicators, alerts, watchlists, videos, rankings, and other materials (collectively, "Content"). As between you and Vermilion, Vermilion and its licensors own all rights, title, and interest in and to the Service and Content, including all intellectual property rights.

All rights not expressly granted are reserved.

7) Permitted Use

Subject to these Terms, you may access and use the Service and Content for your personal, internal, non-commercial informational purposes.

8) Sharing With Friends

We allow you to share certain Content with friends through sharing features we provide (for example, share links or in-app sharing) ("Permitted Sharing"), provided that:

• Sharing is occasional and limited (not systematic or bulk distribution);
• Sharing is non-commercial and not for any business, client, or organizational purpose;
• You do not remove or obscure attribution, branding, or notices;
• Your sharing does not substitute for a paid subscription (e.g., you may not routinely share most or all reports to avoid paying); and
• Recipients do not further redistribute the Content beyond personal, non-commercial use.

We may set technical limits on sharing (such as caps, link expirations, or recipient limits) and may modify sharing functionality to prevent abuse.

9) Strict Prohibited Uses

You may not, and may not allow any third party to:

• Commercial use: Use any Content (including derived outputs) for commercial purposes, commercial advantage, revenue-generating activity, consulting deliverables, marketing, client-facing work product, advisory services, or other business purposes without Vermilion's prior written consent.
• Redistribution / publishing: Copy, reproduce, distribute, display, publish, transmit, sell, license, sublicense, rent, lease, lend, share, or otherwise make available the Service or any Content to third parties, except for Permitted Sharing under Section 8.
• Competing or substitute products: Use the Service or Content to build, train, enhance, validate, operate, or support any product or service that competes with or substitutes for Vermilion, including other briefings, alert services, dashboards, indices, datasets, or similar products.
• Systematic extraction / scraping: Access, extract, download, or index any portion of the Service or Content using bots, scrapers, crawlers, agents, scripts, automated or semi-automated means, or "API-like" behavior, except as expressly authorized by us in writing.
• AI/model training and dataset creation: Use the Content (including exports, screenshots, share links, or derived datasets) to train or fine-tune machine learning or AI models, create embeddings, build retrieval datasets, or otherwise develop automated systems that reproduce or substitute for the Content, without our prior written consent.
• Circumvention: Circumvent or attempt to circumvent paywalls, authentication, rate limits, access controls, sharing limits, or other technical measures.
• Derivative databases / archives: Compile or create a database, archive, or repository of Content (even if modified or reformatted) outside your personal, internal use.
• Reverse engineering: Reverse engineer, decompile, disassemble, or attempt to derive source code or underlying ideas/algorithms from the Service, except as permitted by law.
• Remove notices: Remove, obscure, or alter proprietary notices, trademarks, or attribution in the Service or Content.

Limited quotation exception: You may quote small excerpts for personal, non-commercial commentary with attribution to Vermilion, provided it is not systematic, is not a substitute for the Service, and does not violate third-party rights.

10) User Content

If you submit content (e.g., comments, annotations, saved items, translations, or other inputs) ("User Content"), you retain ownership of your User Content. You grant Vermilion a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify (for formatting/moderation), display, and distribute your User Content as necessary to operate, improve, and promote the Service.

You represent and warrant you have all necessary rights to submit User Content and that it does not infringe others' rights or violate law.

11) Acceptable Use

You agree not to use the Service to:

• harass, threaten, defame, or impersonate others;
• post unlawful content or content that infringes intellectual property rights;
• distribute malware or attempt to disrupt the Service;
• access accounts you do not own or attempt unauthorized access.

We may remove content or restrict accounts to enforce these rules.

12) Third-Party Sources; No Endorsement

The Service may reference or link to third-party sources. Third-party content is owned by its respective owners. We do not guarantee the accuracy, completeness, or availability of third-party materials.

13) Disclaimers

No professional advice: The Service is for informational purposes only and does not constitute legal, financial, investment, tax, or other professional advice. You are solely responsible for your decisions.

14) Limitation of Liability

Some jurisdictions do not allow certain limitations; these limitations apply to the extent permitted.

15) Termination

We may suspend or terminate access if we reasonably believe you violated these Terms, if required by law, or to protect the Service and users. You may stop using the Service at any time. Sections that by their nature should survive termination will survive (including ownership, restrictions, disclaimers, and limitation of liability).

16) Changes to the Service or Terms

We may update the Service and these Terms from time to time. If changes are material, we will provide notice (e.g., in-app or via email). Continued use after the effective date means you accept the updated Terms.

17) Governing Law; Venue

These Terms are governed by the laws of the State of Wyoming, excluding conflict-of-law principles. You agree that any dispute not subject to arbitration (if applicable) will be brought in state or federal courts located in Wyoming, and you consent to personal jurisdiction there.

Optional: Arbitration and class action waiver provisions are jurisdiction-sensitive; include only if your attorney approves.

18) Apple-Specific Provisions

• Apple is not a party to these Terms and has no obligation to furnish maintenance/support services.
• Apple is not responsible for addressing claims relating to the app or your possession/use of the app, except as required by law.
• You represent you are not located in a country subject to U.S. Government embargo or designated as "terrorist supporting," and you are not listed on any U.S. Government prohibited or restricted party list.
